Tonner Drones Moves to Acquire Azur Drones in Conditional Deal

Tonner Drones signed a conditional Azur Drones acquisition deal as Drone Volt secured non-European civilian rights to its autonomous drone platform.

Tonner Drones has signed a binding protocol to acquire the newly formed Azur Drones company from Drone Volt, pairing the conditional transaction with an industrial and commercial partnership built around Azur’s autonomous Skeyetech “drone-in-a-box” technology.

The August 27 agreement is significant for the European autonomous-drone sector, but it is not yet a completed acquisition or an announcement of a new worldwide deployment. Closing remains subject to approval from the court-appointed receiver overseeing the former Azur Drones business, and the parties did not disclose the transaction price in their announcements.

How Azur Drones Reached This Transaction

Drone Volt’s wholly owned indirect subsidiary InAirTech was selected during summer 2026 by the Bordeaux Commercial Court to acquire the former Azur Drones company’s industrial and operational assets. InAirTech then formed a new company retaining the Azur Drones trade name to hold those assets.

The binding protocol calls for Drone Volt, acting through InAirTech, to sell the entire equity interest in that newly formed company to Tonner Drones. Tonner plans to conduct the purchase through a dedicated subsidiary. Tonner says it will finance the transaction with cash on hand rather than issuing new shares and that the restructured company will begin debt-free with a reduced workforce that retains key personnel.

Those descriptions come from the companies’ releases. The available announcements do not disclose the purchase price, identify every transferred asset, give a closing date, or quantify the workforce that will remain.

Commercial Rights Will Be Split by Geography and Market

The accompanying partnership divides commercial activity rather than giving either company unrestricted global control. Drone Volt is expected to receive exclusive commercial rights to exploit the Azur Drones assets outside Europe for civilian customers. It would become the exclusive supplier of the drone-in-a-box system to its major existing customers.

The new Azur Drones company would continue serving European customers, managing existing projects, and developing defense-sector business independently. That distinction is important: the agreement creates a geographic and sector-based commercial structure, but it does not establish that new systems have already been ordered or deployed under the partnership.

What the Skeyetech Platform Has Already Demonstrated

Azur Drones previously marketed its autonomous docking platform under the Skeyetech name. The system is designed for remotely supervised security, surveillance, infrastructure inspection, operational support, and hazardous-condition monitoring without requiring a remote pilot to be physically stationed at the site.

Drone Volt and Tonner Drones state that the technology has completed more than 62,000 autonomous beyond-visual-line-of-sight flights and is deployed and operational in 11 countries. All About UAVs found the same figures repeated in both company announcements, but not an independent flight-log audit or country-by-country deployment list. The figures should therefore be treated as company-reported performance.

The releases also say the system integrates with major video-management systems and uses firewall technology certified by France’s National Cybersecurity Agency, ANSSI. That is more specific than claiming that the entire aircraft, dock, communications chain, or operating service has received a single comprehensive cybersecurity certification.

Drone Volt and Azur Plan a New Hardware Combination

Under the proposed industrial arrangement, Azur Drones would supply autonomous docking stations to Drone Volt. Drone Volt would supply Azur with KOBRA tactical aircraft designed for security and sovereignty applications.

The companies say they plan to integrate Drone Volt’s KOBRA IA aircraft into the broader drone-in-a-box architecture. Drone Volt describes the KOBRA as using an AI-ready onboard computer, two first-person-view cameras, and two LiDAR sensors. The announcement does not establish that the combined KOBRA-and-Azur station has completed qualification, regulatory approval, customer acceptance, or operational deployment.

Why the Deal Matters

Autonomous docks can reduce the need to place a pilot at every site, making persistent inspection and security programs more scalable. Mature deployments still depend on aviation authorization, reliable command-and-control links, site permissions, weather limits, maintenance, remote supervision, cybersecurity, and procedures for abnormal events.

For Drone Volt, the agreement offers an established autonomous-station platform for civilian customers outside Europe without requiring it to own the operating company. For Tonner Drones, the purchase offers a faster entry into defense and security markets using technology developed through more than €50 million in historical research and development investment, according to Tonner.

Historical R&D spending does not determine the current value of the assets or guarantee future revenue. Tonner’s forecasts for market growth, customer orders, cost savings, break-even, and profitability are forward-looking statements rather than completed results.

What to Watch Before Calling the Deal Complete

  • Approval from the court-appointed receiver and confirmation that the transaction has closed.
  • Disclosure of the final consideration and transferred assets.
  • Customer orders resulting from Drone Volt’s non-European civilian rights.
  • Regulatory approvals for additional BVLOS operations in target countries.
  • Qualification and field deployment of KOBRA aircraft with the Azur docking architecture.
  • Evidence that the restructured company can maintain existing deployments while developing defense business.

Until those milestones occur, the most accurate description is a binding but conditional acquisition paired with a commercial and industrial partnership—not a completed global rollout.
